When you pre-order a Boarditto Pick and Place machine, you may be eligible to participate in the Boarditto Referral Program. You will then be able to earn a Referral Reward each time someone else uses your Referral Code to pre-order a Boarditto Pick and Place machine via the Boarditto online store.

Definitions.

“Referrer” means someone who has a Referral Code issued by Boarditto and is qualified to participate in the Program. Amoeba Robotics representatives, agents, employees, affiliates, investors, and members of their immediate families are not eligible to participate in this Program.

“Referral Reward” means a benefit offered by Amoeba Robotics to Referrer upon use of the Referrer’s Referral Code by an Eligible Referral, resulting in a Valid Transaction.

“Referral Code” means the unique referral code to be provided by Amoeba Robotics to Referrer and which is used to identify Eligible Referrals submitted by Referrer.

“Program” means the Boarditto Referral Program.

“Eligible Referrals” means an eligible net new customer lead for the direct purchase of the products and services directly from the Boarditto online store submitted by Referrer, via its Referral Code, to Amoeba Robotics, excluding Ineligible Referrals.

“Ineligible Referrals” means Amoeba Robotics representatives, agents, employees, affiliates, investors, and members of their immediate families, and individuals or companies that are already customers of Boarditto.

"Valid Transaction" is a closed sale for products and services originating through a Referrer’s Referral Code and which is made online via the Boarditto online store directly between an Eligible Referral and Amoeba Robotics in compliance with the requirements of this Program.

“Incentives” means store credit, redeemable coupons, promotion codes, or other incentives offered by Amoeba Robotics for use by the Referrer in promoting and marketing the products and services under the Program.

Program Overview. Amoeba Robotics will provide Referrer with a Referral Code for the purpose of correlating any Eligible Referrals resulting in a Valid Transaction under this Program. Referrer may provide his or her Referral Code to an unlimited number of Eligible Referrals. A Valid Transaction must always originate from Referrer’s Referral Code to qualify for Referral Rewards.

For a Referrer to receive a Referral Reward, an Eligible Referral must take the following steps that lead to a Valid Transaction during the Referrer’s period of participation in the Program:

a) place a qualifying order directly from the Boarditto online store and input the Referrer’s Referral Code;

b) make actual and full payment with a valid payment instrument;

c) not cancel the order; and

d) take delivery and keep the order beyond eligible return dates or final money-back guarantee dates, if any.

If an Eligible Referral cancels or otherwise fails to meet all these requirements, the Referrer will not receive a Referral Reward and, to the extent a Referral Reward has been provided by Amoeba Robotics, the Referrer will be required to return (or Amoeba Robotics may cancel) the Referral Reward.

By participating in the Program, Referrer acknowledges that Amoeba Robotics may display Referrer’s username and/or name, for the purposes of marketing the Program and delivering certain features of the Program.

Distribution of Referral Code and Incentives. Referrer will distribute the Referral Code and Incentives only to Eligible Referrals and only after Amoeba Robotics has approved the distribution by providing Referrer with the Referral Code and any applicable Incentives. All marketing materials (including without limitation the text of email distributions, if any) must be compliant with the Terms of this Program and all applicable marketing, privacy and data protection laws and governmental regulations. Any e-mail distribution must offer recipients the ability to opt-out of future Referrer communications.

Acceptable Use Policy. Referrer expressly agrees not to send, post, transmit or otherwise use any content provided by Amoeba Robotics, including the Amoeba Robotics, Boarditto, and dittoReel names and trademarks or the related products and services, in connection with any materials, sites or otherwise that: (i) will generate or facilitate unsolicited bulk commercial emails; (ii) will, or otherwise encourage, the violation of the legal rights of others; (iii) is for an unlawful, invasive, infringing, defamatory, or fraudulent purpose; (iv) contains obscene or pornographic content.

In addition to the above and other restrictions of this Program, Referrer may not perform the following:

a) Spam anyone. Spamming includes but is not limited to: (i) repeatedly soliciting others; (ii) emailing multiple people identical emails with a Referral Code; (iii) posting Referral Codes on a third party’s website, channels, online platforms, social media pages, as comments or replies to third party posts without their express permission.

b) Use any domain, social media handle, email address, or other name that incorporates any Boarditto, Amoeba Robotics, or dittoReel trademarks or any confusingly similar marks.

c) Operate in a manner that may cause others to believe Referrer is affiliated with Amoeba Robotics, Boarditto, or dittoReel.

d) Infringe or violate any intellectual property or other proprietary right of Amoeba Robotics or any third party.

e) Run or purchase advertisements, including keyword advertising, in order to promote Referral Codes.

f) Post the Referral Code in any kind of third-party online listing such as a coupon site, directory, or map.

g) Offer the use of a Referral Code or use a Referral Code in exchange for any kind of compensation or incentive other than the incentive(s) Amoeba Robotics may offer under this Program.

Referral Rewards. Referrers may only receive one Referral Reward for each Eligible Referral.

For a Boarditto Pick and Place machine, Referrer will receive $200 store credit.

Store credit can be exchanged for Boarditto accessories and dittoReel products and services. Store credit cannot be used to purchase a Boarditto Pick and Place machine.

The maximum amount of rewards that can be accumulated by a single Referrer without prior approval from Amoeba Robotics is $2,000 store credit.

Incentives. Amoeba Robotics may elect to provide Referrer with Incentives to offer its Eligible Referrals from time to time. Use of any applicable Incentives will be subject to the governing terms and conditions as provided by Amoeba Robotics.

After an Eligible Referral uses a Referral Code to purchase a Boarditto Pick and Place machine, he or she will receive $50 store credit that he or she can use to buy accessories.

Valid period of Referral Rewards and Incentives. Referral Rewards and Incentives may expire after a certain period of time (pre-determined by Amoeba Robotics), after which Referral Rewards and Incentives may not be valid anymore. It is the sole responsibility of the Referrer and Eligible Referral to take notice of the valid period of each Referral Rewards and Incentive. Amoeba Robotics is not responsible for Referral Rewards that were not used within the valid period.

Program Modification and Termination. Amoeba Robotics may at any time and in its sole discretion modify, suspend or terminate all or part of this Program, including any rewards, reward amounts, timing of rewards, at any time without notice and will make such modified or updated terms available in writing. Referrers and Eligible Referrals are solely responsible for verifying that the Program is still in effect at the time they make or participate in new referrals. Any potential rewards at the time the Program is modified, suspended or terminated will be subject to the terms and conditions in effect at the time of an Eligible Referral’s purchase with a Referrer’s Referral Code.

Abuse. The actions of Referrer and Eligible Referrals must be in full compliance with the Terms of this Program and any third-party terms, including those of any social media platform. If at any time Amoeba Robotics suspects or determines, at its sole discretion, that a Referrer or an Eligible Referral has not complied with the Terms of this Program or the Terms of the Boarditto and dittoReel Pre-Order Agreement or has otherwise acted in bad faith, or violated any Amoeba Robotics or third party rights or any laws or ordinances in any way, it may, in addition to any other rights and remedies it may have against Referrer or Eligible Referrals, immediately and without notice to Referrer or Eligible Referrals, terminate or suspend their participation in the Program and refuse to award for referrals. Amoeba Robotics shall not be liable to Referrer or Eligible Referrals or to any third party for any claim or cause of action arising out of such termination or suspension.

Confidentiality. Referrer or Eligible Referral may not disclose the terms or existence of any non-public aspect of the Program to any third party, except to its professional advisors under a strict duty of confidentiality or as necessary to comply with law.

Notification. Referrers are notified by email when an Eligible Referral uses the Referrer’s Referral Code at the time of purchase and when the Referrer earns a Referral Reward. Amoeba Robotics is not responsible for email that is blocked, lost or misplaced by the recipient, their service provider or users of the recipient’s computer and equipment, or that is otherwise undeliverable due to changes in the Referrer’s email address, blacklisting or blocking of a service provider or Referrer’s email address, unsent due to technical difficulties, or other such failures beyond reasonable control of Amoeba Robotics.

Disclaimers; Limitation of Liabilities. AMOEBA ROBOTICS AND ANY THIRD PARTY INVOLVED IN CREATING, PRODUCING, MAINTAINING, OR DELIVERING THE PROGRAM SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF ACTUAL OR POTENTIAL REFERRER’S OR ELIGIBLE REFERRAL’S ACCESS TO, USE OF OR INABILITY TO USE THE PROGRAM, THE LOSS OF DATA OR THE RECEIPT OR USE OF ANY REWARDS AWARDED THROUGH THE PROGRAM. WITHOUT LIMITING THE FOREGOING, THE PROGRAM, REFERRAL LINKS AND REWARDS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
